TERMS OF USE

Effective Date: October 27, 2026
Last Updated: October 27, 2026

IMPORTANT NOTICE

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING MCSPRONTO.COM OR ANY MCS WEBSITE, STREAMING CHANNEL, DIGITAL PLATFORM, PRODUCT, SERVICE, OR RELATED OFFERING.

These Terms of Use establish the conditions under which you may access and use the MCS platform and the services operated or controlled by MCS. They include provisions relating to subscriptions, payments, intellectual property, account responsibilities, limitations of liability, and dispute resolution.

Certain provisions, including arbitration and class action waiver provisions, may affect your legal rights. Where applicable, they will apply only to the extent permitted by law.

If you do not agree to these Terms of Use, do not access or use the applicable MCS service.

1. INTRODUCTION AND ACCEPTANCE OF TERMS

1.1 The MCS Platform

MCS operates an entertainment, media, streaming, production, publishing, fashion, promotional, and digital services business. MCSPronto.com serves as the primary online platform for MCS and its associated services.

These Terms of Use govern your access to and use of websites, platforms, channels, applications, subscriptions, content, features, products, and services operated or controlled by MCS.

For purposes of these Terms, “MCS,” “we,” “us,” and “our” refer to MCS Entertainment, LLC, Michael Coleman Studios, and the applicable MCS business, brand, or operating entity responsible for the relevant service. The legal entity responsible for a particular transaction or service will be identified in the applicable checkout, subscription agreement, or additional terms where necessary.

1.2 Acceptance

By accessing an MCS website, creating an account, purchasing a product, subscribing to a service, submitting materials, registering for an event, or otherwise using an MCS service, you agree to these Terms of Use and any additional terms applicable to that service.

Where affirmative acceptance is required, including during account registration or checkout, you must expressly accept the applicable terms before proceeding.

1.3 Relationship to the Privacy Policy

Your use of MCS services is also subject to the MCS Privacy Policy, which explains how personal information may be collected, used, disclosed, and protected.

The Privacy Policy is incorporated into these Terms by reference. In the event of a conflict concerning personal information practices, applicable privacy law and the relevant privacy notice will govern.

1.4 Additional Terms

Certain services may be subject to additional rules, subscription conditions, promotional terms, event policies, contest rules, submission agreements, licenses, or other agreements.

Those additional terms will apply to the relevant service or activity. If an additional agreement expressly conflicts with these Terms regarding a specific service, the additional agreement will control to the extent of that conflict, subject to applicable law.

2. SCOPE OF MCS SERVICES AND CHANNELS

These Terms apply, where operated or controlled by MCS, to the following brands, channels, services, and related activities:

  • MCSPronto.com — the primary MCS digital platform and entertainment destination.

  • MCS Plus / MCS TV Plus — streaming subscriptions and digital entertainment.

  • MCS Originals — original films, television series, and entertainment productions.

  • MCS Comedy TV and MCS Comedy — comedy series, stand-up performances, comedy specials, and related programming.

  • MCS Music — music playlists, music programming, and related services.

  • MCS Indie — independent films and creative entertainment.

  • MCS Media Group and MCS Studios — production, studio, media, and related services.

  • MCS Awards — awards programs, nominations, entries, voting, registrations, and related activities.

  • The Michael D. Coleman Show — show programming, audience participation, and related registration services.

  • Michael Coleman Talent Agency (MCTA) — talent-related inquiries, submissions, and agency services, where applicable.

  • MichaelColemanFashion.com and MCS Fashion — fashion products, merchandise, and related services.

  • Coleman Publishing Company and MOGULING Magazine — publishing, editorial, and related media services.

  • Moguling Promoters Group — event promotion, networking, and promotional activities.

  • Moguling Global Distribution — distribution-related services.

  • M4 Club / Moguling Millionaires Mansion Meetings — membership activities, meetings, and related services, where applicable.

  • Other MCS-branded websites, programs, channels, products, services, and digital experiences operated or controlled by MCS.

This list identifies the intended scope of the MCS business structure. It does not mean that every listed service is currently available, that every service offers a subscription, or that every service is operated by the same legal entity.

MCS may introduce new channels, programs, brands, features, and services in the future. These Terms will apply to such offerings when appropriate, subject to any additional terms presented for those offerings.

Independent businesses, third-party platforms, payment processors, event organizers, distributors, and other providers may be subject to their own terms and policies.

3. ELIGIBILITY AND USER RESPONSIBILITIES

3.1 Age Requirements

You must have the legal capacity to enter into a binding agreement to accept these Terms.

Where required by law or by the applicable service, you must be at least 18 years old or the age of majority in your jurisdiction.

Individuals under the applicable age may use an MCS service only where legally permitted and with any required involvement, supervision, or consent of a parent or legal guardian.

Certain services, events, promotions, memberships, or products may impose additional age requirements.

3.2 Accurate Information

You agree to provide accurate, current, and complete information when creating an account, registering for a service, making a purchase, or submitting information to MCS.

You are responsible for updating information when necessary to keep it accurate.

Providing false, misleading, fraudulent, or unauthorized information may result in restrictions on your account or access to the relevant service.

3.3 Compliance With Laws

You agree to use MCS services in compliance with applicable laws, regulations, these Terms, and any additional rules governing the service.

You may not use an MCS service to facilitate unlawful conduct, infringe another person's rights, engage in fraud, distribute malicious software, or interfere with the security or operation of the platform.

4. MEMBERSHIPS AND SUBSCRIPTIONS

4.1 Membership Plans

MCS may offer free or paid accounts, monthly or other recurring subscriptions, premium channels, special membership plans, promotional subscriptions, or services provided in connection with third-party offers.

Available plans, prices, features, billing intervals, and limitations will be described during registration or checkout.

Not every MCS channel or service requires a paid subscription. Access requirements will depend on the particular offering.

4.2 Account Creation

To use certain services, you may need to create an account and provide requested information.

You agree not to create accounts using another person's identity without authorization, impersonate another person, or misrepresent your affiliation with MCS or another organization.

MCS may require verification of account details where reasonably necessary to maintain security, administer subscriptions, prevent fraud, or comply with applicable law.

4.3 Subscription Duration and Automatic Renewal

Where a subscription is offered on a recurring basis, it will continue for the stated subscription term and may automatically renew unless canceled before the renewal date, as disclosed during checkout.

Before you complete a recurring purchase, MCS will provide the material subscription terms required by applicable law, including the price, billing frequency, renewal conditions, and cancellation method.

You are responsible for reviewing those terms before completing your purchase.

4.4 Free Trials and Promotional Offers

MCS may offer free trials, discounted introductory periods, promotional memberships, or limited-time offers.

Unless otherwise disclosed at signup, a free trial is not guaranteed to be available for every service or user. Trial duration, eligibility, included features, payment requirements, and conversion to a paid subscription will be stated in the applicable offer.

Where a free trial automatically converts to a paid subscription, the applicable price, billing date, and cancellation requirements will be disclosed as required by law.

MCS may limit or withdraw promotional eligibility where permitted by law, including when an offer is being misused or obtained through fraudulent means.

4.5 Subscription Access

Your subscription provides access only to the services, channels, features, and content included in your selected plan.

A subscription to one MCS service does not automatically entitle you to every MCS channel, event, product, membership, or premium feature.

Additional charges may apply to separate events, merchandise, premium content, memberships, or services when disclosed before purchase.

5. BILLING, PAYMENTS, AND CANCELLATION

5.1 Payment Authorization

When you purchase a paid service, you authorize MCS or its designated payment provider to charge your selected payment method for the disclosed price, applicable taxes, and other authorized charges.

You represent that you are authorized to use the payment method provided.

If payment is processed through a third-party platform, that provider's payment terms may also apply.

5.2 Billing Cycle

Recurring subscriptions will be billed according to the billing schedule disclosed at signup.

The date of a charge may vary when a payment fails, a subscription is changed, a billing date does not exist in a particular month, or a third-party payment provider uses a different billing schedule.

MCS will not intentionally charge a subscription fee that has not been authorized or otherwise permitted by applicable law.

5.3 Failed Payments

If a payment is declined, expires, or cannot be processed, MCS or its payment provider may notify you and request updated payment information.

Where permitted by law and the applicable subscription terms, access may be suspended or restricted until payment is resolved.

You remain responsible for valid amounts owed under your subscription or purchase agreement.

5.4 Cancellation

You may cancel a recurring subscription using the cancellation method provided for that service, which may include account settings or the third-party platform through which you subscribed.

Cancellation will take effect in accordance with the terms disclosed at signup and applicable law.

Unless otherwise required by law or stated in the applicable offer, canceling a subscription stops future renewals but does not necessarily end access immediately. Access may continue through the end of the already-paid subscription period.

Please retain any cancellation confirmation for your records.

5.5 Refunds and Credits

Refund eligibility depends on the applicable service terms, the circumstances of the transaction, and applicable law.

Except where required by law or expressly stated in the applicable offer, subscription fees for periods already started, consumed services, completed transactions, and digital content may be nonrefundable.

Nothing in these Terms excludes a refund, cancellation right, chargeback right, or other consumer protection that cannot lawfully be excluded.

Where permitted, MCS may provide refunds, credits, discounts, or other adjustments at its discretion. Providing an adjustment in one situation does not automatically require the same adjustment in another situation.

5.6 Changes to Prices and Plans

MCS may introduce, discontinue, or modify subscription plans, pricing, features, and service packages.

Where a change affects an existing subscription, MCS will provide notice and obtain any consent required by applicable law. Any price change will take effect according to the notice provided and applicable legal requirements.

If you do not agree to a material subscription price change, you may cancel in accordance with the applicable cancellation terms before the change takes effect.

5.7 Taxes and Third-Party Fees

You may be responsible for applicable taxes and charges associated with your purchase, as disclosed at checkout.

Your bank, card issuer, telecommunications provider, or payment platform may impose separate fees. Those fees are governed by the relevant provider's terms.

6. USE OF THE MCS PLATFORM

6.1 Personal and Authorized Use

Unless a particular service expressly permits otherwise, MCS streaming subscriptions and digital content are provided for personal, private, and non-commercial use.

You receive a limited, revocable, non-exclusive, non-transferable right to access the applicable service and view content made available through it, subject to these Terms and your subscription conditions.

This right does not transfer ownership of the platform, software, content, trademarks, or other intellectual property to you.

6.2 Household and Account Sharing

Where a subscription is limited to personal use or a household, you may not share access outside the permitted scope.

Any specific household, simultaneous-stream, device, or account-sharing limits will be described in the applicable plan terms.

You may not sell, rent, sublicense, transfer, or commercially exploit your account or subscription.

6.3 Geographic Availability

Content and services may be available only in certain countries, territories, or regions due to licensing restrictions, legal requirements, or operational limitations.

The availability of a particular film, series, music program, event, or feature may vary by location and may change over time.

You agree not to circumvent geographic restrictions or other lawful access controls.

6.4 Device Compatibility

Access to MCS services may depend on your device, operating system, browser, application version, Internet connection, and other technical requirements.

MCS does not guarantee that every service will be compatible with every device or remain compatible with a particular device indefinitely.

You are responsible for maintaining compatible equipment and paying any Internet, mobile data, or telecommunications charges incurred when using the service.

6.5 Streaming Quality and Availability

Streaming quality may vary depending on Internet speed, network congestion, device capabilities, location, content format, and other factors.

MCS does not guarantee uninterrupted playback, a particular resolution, or the availability of every title or feature on every device or plan.

Where reasonably practicable, MCS may conduct maintenance, update software, modify interfaces, or temporarily restrict features to protect or improve the service.

6.6 Updates and Software

MCS may update the website, applications, playback systems, and related software to maintain security, compatibility, performance, and functionality.

Where a service uses software that supports automatic updates, updates may be installed or made available as part of ordinary service operation, subject to applicable requirements and the relevant device settings.

You agree not to interfere with legitimate security updates or misuse MCS software.

6.7 Public Performances and Commercial Use

Unless expressly authorized by MCS in writing or permitted by the applicable content license, you may not use a personal subscription to screen, broadcast, publicly perform, retransmit, or commercially exploit MCS content.

Separate permission may be required for theaters, businesses, public venues, events, or other commercial settings.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 MCS Ownership

MCS and its licensors retain all rights, title, and interest in the MCS platform and the intellectual property they own or control, including, where applicable:

  • Films, television programs, comedy specials, and original productions.

  • Music programming, playlists, audio-visual works, and associated materials.

  • Logos, brand names, trademarks, service marks, and designs.

  • Websites, user interfaces, software, graphics, photographs, and artwork.

  • Written content, promotional materials, and editorial works.

  • Compilation, arrangement, and presentation of content.

  • Other materials made available through MCS services.

All rights not expressly granted to you are reserved by their respective owners.

7.2 Restrictions on Use

Except as expressly permitted by law or authorized in writing, you may not:

  • Copy, reproduce, distribute, sell, rent, or sublicense MCS content.

  • Download, record, capture, or archive protected content where unauthorized.

  • Modify, adapt, translate, or create derivative works from protected content.

  • Publicly display, perform, stream, or retransmit content without authorization.

  • Remove copyright notices, watermarks, digital rights management, or other protective measures.

  • Use MCS trademarks or logos in a way that suggests an unauthorized endorsement, affiliation, or sponsorship.

  • Use automated tools to scrape, extract, or systematically collect protected platform content.

  • Circumvent access controls or technical protections.

Nothing in this section limits rights that cannot lawfully be restricted, including applicable exceptions under copyright law.

7.3 Trademarks

MCS, MCSPronto.com, and the names, logos, and marks of MCS channels and brands may be trademarks or other protected identifiers of MCS or their respective owners.

You may not use these marks in a manner likely to cause confusion, falsely suggest approval, or infringe the rights of the relevant owner.

7.4 Copyright Complaints

If you believe material available through an MCS service infringes your copyright, you may submit a written notice identifying the copyrighted work, the allegedly infringing material, your contact information, and the information required under applicable copyright law.

Notices should be sent to the copyright contact designated by MCS on its website. MCS should publish and maintain a designated copyright contact and, if applicable, a registered DMCA agent.

MCS may remove or restrict access to disputed material and take appropriate action in response to valid notices, counter-notices, and repeat infringement, consistent with applicable law.

8. USER SUBMISSIONS AND CREATIVE MATERIALS

8.1 General Submissions

Certain MCS services may allow users to submit scripts, films, photographs, music, videos, artwork, audition materials, reviews, comments, or other content.

You are responsible for ensuring that you have the legal right to submit the material and that your submission does not violate another person's intellectual property, privacy, publicity, contractual, or other rights.

8.2 Unsolicited Creative Materials

Unless a specific MCS program expressly invites submissions, MCS does not undertake to review unsolicited creative materials or ideas.

If you send unsolicited material, MCS may be unable to review it, respond to it, or keep it confidential. Submission alone does not create a confidential relationship, employment relationship, representation agreement, production agreement, or obligation to pay compensation.

This section does not transfer ownership of your work to MCS merely because you submit it.

Any permission to review, use, distribute, produce, adapt, or otherwise exploit creative materials must arise from an applicable license, release, submission agreement, or other valid authorization.

8.3 Authorized Submissions

Where MCS expressly invites materials for a competition, production, audition, award program, or other activity, the rules or submission agreement for that activity will govern.

You may be required to confirm ownership, obtain permissions, provide releases, or grant specific rights necessary to administer the activity.

Please review those terms before submitting materials.

8.4 Feedback

If you voluntarily provide general feedback, suggestions, or ideas about improving an MCS service, you grant MCS permission to use that feedback for evaluating and improving its services, without compensation, to the extent permitted by law.

This provision does not grant MCS ownership of your separately submitted film, script, music, artwork, or other creative work. Any broader rights must be established by an applicable agreement or authorization.

8.5 Public Content

If you publish material in a public-facing area of an MCS service, you understand that other people may be able to view, copy, or share it.

You should not publish confidential information or personal information that you do not wish to make public.

9. EVENTS, AWARDS, PROMOTIONS, AND MEMBERSHIPS

9.1 Event Registration

MCS may organize, promote, film, stream, or support live events, comedy shows, music performances, networking events, award ceremonies, and other entertainment activities.

Registration requirements, ticket prices, event dates, venue rules, admission conditions, and refund policies will be provided through the applicable event listing or checkout.

Third-party ticketing platforms may impose additional terms and fees.

9.2 Photography, Recording, and Streaming

Certain events may be photographed, filmed, recorded, or streamed for promotional, archival, broadcast, or entertainment purposes.

Where required by law, MCS will provide appropriate notice and obtain necessary consent or authorization. Additional releases or permissions may be required for interviews, featured performances, close-up recordings, or other specific uses.

If you do not wish to appear in an event recording, review the event's notices and contact the organizer before attending. MCS cannot guarantee that every incidental appearance in a public event setting can be avoided.

9.3 Awards and Competitions

MCS Awards and other competitions may have separate entry requirements, eligibility criteria, deadlines, judging procedures, voting rules, prize conditions, and content submission requirements.

Participation is subject to the applicable official rules. Where a separate set of official rules applies, those rules will govern the competition to the extent of any conflict with these general Terms.

MCS may disqualify entries that violate published rules or applicable law.

9.4 Membership Clubs

Membership programs, including M4 Club or other MCS-affiliated memberships, may offer benefits, access privileges, networking opportunities, events, or other features described in the applicable membership materials.

Fees, renewal conditions, benefits, limitations, cancellation rights, and any investment-related or financial arrangements must be clearly set out in the applicable agreement.

Membership alone does not guarantee profits, investment returns, business success, employment, entertainment roles, or any particular commercial outcome.

Any actual investment offering or regulated financial activity must be governed by its separate legal documentation and applicable law.

9.5 Event Changes and Cancellations

Schedules, performers, venues, and programming may change due to circumstances beyond MCS's reasonable control.

Refunds, exchanges, credits, postponements, and cancellations will be handled according to the applicable event policy and mandatory consumer protections.

10. MERCHANDISE, PRODUCTS, AND OTHER PURCHASES

10.1 Product Information

MCS may offer clothing, fashion products, accessories, merchandise, digital products, and other items through its websites or third-party sales platforms.

Product descriptions, images, colors, sizes, prices, availability, and delivery information are provided to help you evaluate a purchase. Actual appearance may vary due to displays, manufacturing variations, or other factors.

10.2 Orders and Payment

An order is subject to the terms shown at checkout, including price, taxes, shipping fees, delivery estimates, and any applicable return policy.

MCS may decline or cancel an order where permitted by law, including in cases of suspected fraud, pricing errors, inventory issues, or unauthorized transactions. If payment has been collected for an order that is canceled, applicable refunds will be handled in accordance with law and the disclosed purchase terms.

10.3 Returns and Refunds

Returns, exchanges, warranties, and refunds are governed by the applicable product policy and mandatory legal rights.

If a product is sold by an independent third party, that seller's policies may apply to the transaction.

11. PROHIBITED CONDUCT

You agree not to use an MCS service to:

  1. Violate applicable law or another person's legal rights.

  2. Commit fraud, impersonation, identity theft, or deceptive conduct.

  3. Access accounts, systems, or data without authorization.

  4. Interfere with platform security, availability, or performance.

  5. Upload viruses, malicious code, or harmful files.

  6. Scrape, harvest, or collect data through unauthorized automated means.

  7. Circumvent subscription requirements, access controls, or content protections.

  8. Reproduce or distribute protected material without permission.

  9. Harass, threaten, defame, or unlawfully discriminate against others.

  10. Submit unlawful, infringing, deceptive, or otherwise prohibited material.

  11. Misrepresent a relationship with MCS or falsely claim MCS endorsement.

  12. Use the service to send spam or unauthorized commercial solicitations.

  13. Engage in conduct that materially disrupts an event, community, production, or service.

  14. Help another person engage in any of the prohibited activities described above.

MCS may investigate suspected violations and take action consistent with these Terms and applicable law.

12. PASSWORDS, ACCOUNT ACCESS, AND SECURITY

12.1 Account Owner Responsibility

The person who creates an account is responsible for maintaining the confidentiality of their login credentials and for activity conducted through the account, subject to applicable law.

You agree to use reasonable security measures, maintain accurate account information, and notify MCS promptly if you suspect unauthorized access.

12.2 Account Protection

MCS may use reasonable security measures to verify accounts, detect suspicious activity, protect payment information, and prevent unauthorized access.

Where reasonably necessary, MCS may temporarily restrict an account while investigating suspected fraud, security incidents, or violations of these Terms.

12.3 Lost or Stolen Devices

If a device used to access an MCS service is lost, stolen, transferred, or no longer under your control, you should sign out, change relevant credentials, or deactivate access where the service supports those options.

MCS cannot guarantee that a third-party device or account will remain secure if you fail to protect your credentials.

12.4 Account Suspension and Termination

MCS may suspend, restrict, or terminate access where reasonably necessary due to material violations of these Terms, fraud, security risks, legal requirements, nonpayment, or the discontinuation of a service.

Where appropriate and legally permitted, MCS may provide notice and an opportunity to resolve the issue before taking action.

You may stop using a service at any time and may cancel a recurring subscription according to its applicable terms.

13. THIRD-PARTY SERVICES AND DISTRIBUTION PLATFORMS

MCS may use or link to third-party websites, payment processors, streaming distributors, social networks, ticketing services, device manufacturers, advertising providers, and other external services.

These third parties may be governed by separate terms, licenses, privacy policies, and payment conditions.

MCS is not responsible for independent services that it does not operate or control. This does not exclude responsibility that MCS may have under applicable law or for obligations it has expressly undertaken.

Your access to an MCS service through a third-party platform may also be subject to that platform's requirements, including account management, billing, cancellation, and technical support.

14. SERVICE CHANGES, SUSPENSION, AND DISCONTINUATION

MCS may add, update, modify, suspend, or discontinue features, content, channels, or services as business, licensing, technical, legal, or operational circumstances require.

Where changes materially affect an existing paid service, MCS will provide notice or other remedies when required by law or the applicable agreement.

MCS does not guarantee that a particular title, channel, feature, event, or service will remain available indefinitely.

Nothing in this section permits MCS to disregard an applicable refund obligation, contractual commitment, or non-waivable consumer right.

15. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MCS SERVICES, WEBSITES, SOFTWARE, CONTENT, AND FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

MCS DOES NOT GUARANTEE THAT EVERY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, AVAILABLE AT ALL TIMES, COMPATIBLE WITH EVERY DEVICE, OR FREE FROM ALL SECURITY RISKS.

TO THE EXTENT PERMITTED BY LAW, MCS DISCLAIMS WARRANTIES THAT MAY OTHERWISE BE IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THIS SECTION DOES NOT EXCLUDE ANY WARRANTY OR LEGAL PROTECTION THAT CANNOT LAWFULLY BE EXCLUDED.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MCS AND ITS RELEVANT AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, AN MCS SERVICE.

TO THE EXTENT PERMITTED BY LAW, MCS WILL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL ARISING FROM CIRCUMSTANCES COVERED BY THIS SECTION.

WHERE LIABILITY CANNOT BE EXCLUDED BUT MAY LAWFULLY BE LIMITED, LIABILITY WILL BE LIMITED TO THE EXTENT PERMITTED BY APPLICABLE LAW.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR OTHER MATTERS THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, OR RESTRICTS NON-WAIVABLE STATUTORY RIGHTS.

17. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable expenses arising from your unlawful conduct, your material violation of these Terms, or your infringement of another person's rights.

Any obligation to indemnify MCS will apply only to the extent the claim results from conduct for which you are legally responsible. This section does not require you to indemnify MCS for MCS's own unlawful conduct or for liability that cannot legally be shifted to you.

MCS may participate in the defense of a claim involving its interests, subject to applicable law and the terms of any relevant agreement.

18. DISPUTE RESOLUTION AND ARBITRATION

18.1 Informal Resolution

If you have a dispute concerning an MCS service, you and MCS are encouraged to attempt to resolve it informally first.

You may contact MCS using the contact information provided on MCSPronto.com. Please describe the issue and the resolution you are seeking.

Nothing in this section prevents either party from pursuing relief that cannot lawfully be restricted.

18.2 Arbitration Only Where Validly Agreed

A separate arbitration agreement may apply to certain MCS services or transactions where permitted by law and validly accepted by the parties.

If an enforceable arbitration agreement applies, it will describe the covered disputes, applicable rules, procedures for initiating a claim, allocation of fees, location or method of hearings, and any applicable exceptions.

No arbitration obligation is created merely by this general section where the law requires separate or affirmative agreement.

18.3 Small Claims and Other Legal Rights

Where permitted by applicable law and any valid arbitration agreement, eligible disputes may be brought in small claims court.

Nothing in these Terms is intended to eliminate a consumer's right to pursue a claim, remedy, or procedure that cannot lawfully be waived.

18.4 Class and Representative Proceedings

Any class action waiver or restriction on representative proceedings will apply only if included in an enforceable agreement and permitted by applicable law.

Nothing in this section purports to waive a right that cannot legally be waived.

19. GOVERNING LAW AND VENUE

These Terms will be interpreted in accordance with applicable law.

To the extent a choice of governing law is permitted, the law specified in a valid service-specific agreement will apply, without displacing mandatory consumer protections that apply in your jurisdiction.

Any court proceeding will be brought in a court with appropriate jurisdiction, subject to applicable law and any enforceable dispute-resolution agreement.

20. ELECTRONIC COMMUNICATIONS

You agree that MCS may provide account notices, transaction confirmations, subscription information, policy updates, and other service-related communications electronically, including through email, account notifications, or notices posted on the relevant website.

Where legally permitted, electronic communications may satisfy applicable written-notice requirements.

You are responsible for keeping your contact information current and reviewing important notices concerning your account and services.

Marketing communications remain subject to applicable consent, unsubscribe, and communication laws.

21. CHANGES TO THESE TERMS

MCS may revise these Terms to reflect changes in its business, services, technology, or legal obligations.

When revised Terms are posted, the updated date will be changed accordingly.

Where required by law or an applicable agreement, MCS will provide advance notice, obtain consent, or take other required steps before a material change takes effect.

If you do not agree to revised Terms, you should stop using the affected service and cancel any applicable subscription in accordance with its cancellation terms.

Any provision that by its nature should continue after termination will survive to the extent necessary and permitted by law.

22. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without MCS's written consent, except where such restriction is prohibited by law.

MCS may transfer or assign its rights and obligations in connection with a merger, restructuring, corporate affiliate, or transfer of the relevant business or assets, subject to applicable law and any required notice or consent.

23. SEVERABILITY AND NO WAIVER

If a provision of these Terms is found to be unlawful, invalid, or unenforceable, it will be limited or severed to the extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

A failure by MCS to enforce a provision on one occasion does not automatically waive its right to enforce that provision later.

Any waiver must be interpreted in accordance with applicable law.

24. NO PARTNERSHIP OR EMPLOYMENT RELATIONSHIP

These Terms do not create a partnership, joint venture, employment relationship, agency relationship, talent representation agreement, or fiduciary relationship between you and MCS merely because you use an MCS service.

Any employment, talent representation, production, distribution, sponsorship, investment, or other specialized business relationship must be established through a separate agreement where applicable.

25. ENTIRE AGREEMENT

These Terms, together with the MCS Privacy Policy and any additional terms that apply to the particular service, constitute the agreement governing your use of that service.

They do not replace a separate signed agreement or mandatory legal rights that apply to a particular transaction or relationship.

If a separate agreement expressly governs a particular subject, that agreement will control to the extent of any conflict, subject to applicable law.
